- APPROVE Amendment 1 to the Employment Agreement between the Transportation Agency for Monterey County and Debra L. Hale; and
- AUTHORIZE the Chair of the Board of Directors to sign Amendment 1.

| | | | | | | | | SUMMARY: | | Executive Director Debra L. Hale has notified the Board of Directors of her intention to retire in 2021. Ms. Hale’s employment agreement with TAMC expires on June 30, 2021. The Board of Directors has requested she continue her employment with TAMC to overlap with the hiring of a replacement, and thus, a short extension of the agreement is necessary, by way of an amendment. |

| | | | | | | | | FINANCIAL IMPACT: | | None, as the salary of the Executive Director is already included in the fiscal year 2021/22 draft budget. To note, effective July 1, 2021, it is anticipated that the salary for Ms. Hale will be increased in accordance with a 2% cost of living allowance (COLA) proposed for all staff, as permitted in Ms. Hale’s current employment agreement; this is already contemplated and accounted for in the 2021/22 draft budget. |

| | | | | | | | | DISCUSSION: | The proposed amendment will make one change to Ms. Hale’s current contract: in paragraph 6.1, the term of Ms. Hale’s employment agreement is extended through October 8, 2021.
The Executive Director recruitment process started in May and will take place over the summer. A new Executive Director is expected to start in the late summer or early fall of 2021. The proposed October 8, 2021 contract extension date reflects the end of the pay period for an additional quarter of service beyond Ms. Hale's originally-proposed retirement date of July 9, and will allow sufficient time for the requested overlap in service to occur. |
